New York court orders actor Helal Khan to pay creditors

Noman Sabit: A New York court has issued a proposed Confession of Judgment against Helal Khan, a former official of First Aid Home Care, Inc., in a case involving the unauthorized withdrawal of  $1,000,500.00 in violation of a partnership/shareholder agreement. Khan is also the convener of JASAS (Jatiyatabadi Samajik O Sanskritik Sangstha), an affiliated organization of the Bangladesh Nationalist Party (BNP).

According to court records filed in Suffolk County, New York, attorneys for the plaintiffs proposed the filing of a  $1,000,500.00 “Proposed Confession of Judgment” against Khan on October 7 of last year.

Court documents state that on January 16, 2025, Khan executed an Affidavit of Confession of Judgment, which was filed with the Suffolk County Clerk pursuant to CPLR §3218. Based on that filing, the court proposed holding Khan liable for  $1,000,500.00 in favor of multiple plaintiffs.

According to the allegations, the debtor, under oath, stated that he resides in Suffolk County and acknowledged that he failed to repay a legitimate debt owed to the investors under a Promissory Note dated January 16, 2025 (attached as Exhibit A). The proposed Confession of Judgment was made in favor of Tasmia F. Ahmed, Atiqul Islam, Nahid Ahmed, Fahad R. Solaiman, Shah J. Choudhury, Rukon Hakim, Mohammed Rezu, and Mohammad Al Amin Miah (collectively referred to as the “Investors” or “Creditors”).

Khan stated that he was a shareholder of First Aid Home Care, Inc., a New York corporation, and served as its president beginning November 30, 2021, during which time he oversaw the company’s day-to-day operations and business affairs. He is no longer president of the company and has been removed from that position.

As a shareholder, Khan was bound by the Third Amended and Restated Shareholders Agreement dated January 31, 2024. While serving as president, he allegedly breached that agreement by taking unauthorized cash advances and making multiple unauthorized withdrawals from the company’s accounts for personal use.

Court filings state that on or about January 16, First Aid Home Care resolved approximately $1.2 million in cash advances used personally by Khan, and Khan further agreed to repay an additional  $1,000,500.00 in expenses. On January 16, 2025, he executed a promissory note agreeing to repay the  $1,000,500.00 to the investors.

Under the terms of the note, Khan agreed to repay the  $1,000,500.00 within five months. The note further provided that if he defaulted, the creditors could file and enforce the proposed Confession of Judgment without further notice and seek recovery of the unpaid balance along with reasonable attorneys’ fees, costs, and court expenses. Khan subsequently defaulted on the repayment.

Pursuant to CPLR §3218, Khan formally confessed judgment in the amount of  $1,000,500.00 in favor of the creditors. He authorized the court to enter judgment against him for $1,000,500.00, less any payments made, plus 10 percent annual interest from the date of default and all reasonable legal fees, costs, and court expenses, upon submission of the affidavit and confirmation of the unpaid balance by creditors’ counsel. He also stated that the affidavit was not made to secure a contingent liability.

According to court records, the plaintiffs are seeking entry of this Confession of Judgment against Khan. The proposed order provides that Khan must pay  $1,000,500.00 plus 10 percent annual interest from June 16, 2025, until entry of judgment, along with all costs and disbursements taxed by the court clerk.

Court sources said the Suffolk County Clerk has been directed to formally enter judgment in favor of the plaintiffs and against Khan. Once entered, the plaintiffs will be entitled to pursue legal enforcement measures to collect the debt.

The case is currently pending in Suffolk County. The plaintiffs are represented by attorney Natalie Gurin.
